La percée du groupe ivoirien NSIA dans le secteur bancaire par le rachat de la BIAO en 2006 avait constitué un laboratoire à ciel ouvert pour le secteur des assurances en Zone CIMA.
Il s’agissait de valider une règle empirique selon laquelle une compagnie d’assurance rentable, disposant d’excédents (plusieurs fois ses réserves techniques et sa marge de solvabilité minimale) a intérêt à s’assurer du soutien d’un réseau bancaire étendu pour placer ses produits à moindre coût via un canal de distribution étendu.
Sauf que dans le cas d’espèce, la reprise de la BIAO, s’apparentait à du développement ground zero. Il a fallu revitaliser une vieille institution bancaire, qui fut établissement d’émission monétaire, la sortir de sa torpeur centenaire (la première agence BIAO fut ouverte en 1906 à Grand Bassam) par la création d’une filiale (juillet 2011) en Guinée dotée d’un capital de départ de 5 milliards de FCFA. Autre investissement consenti, le changement de la marque et le passage de l’identité visuelle sous le giron de la NSIA. Dix ans après, la NSIA Banque est en Bourse.

Entre temps, la compagnie, détenue partiellement (20,9%) par un fonds d’investissement, en l’occurrence Emerging Capital Partners, a remplacé ce dernier par la Banque nationale du Canada (BNC) et le Fonds d’investissement Amethis finance. Le marché en avait tiré la conclusion, en mars 2015, que, d’une part la NSIA n’a pas voulu ou souhaité saisir l’opportunité de la sortie de son «encombrant» partenaire, pour reprendre ses parts et que, d’autre part, un développement par la banque a été privilégiée plutôt que l’option Swiss Ré qui était pressentie. Soit dit en passant, Swiss Ré s’est depuis rattrapée, s’offrant une participation indirecte dans la holding mère Manzi Finances (basée à Lomé, Togo) et actionnaire majoritaire -60%- de NSIA Participations. La transaction serait revenue à 112 millions de dollars, soit 72 milliards de FCFA. Ce petit matelas permet au patriarche Diagou de vivre avec sérénité le relèvement du capital minimum en zone CIMA.
En attendant, le partenaire canadien, irrité par l’intrusion royale de Swiss Ré, rêve des jours meilleurs. Deux ans après l’arrivée de la BNC dans le tour de table, force est de le constater, la NSIA n’a pas procédé à des acquisitions majeures dans la sous région pour hisser son canal bancaire au niveau de son réseau d’assurance.
En fait, le modèle NSIA rassemble aujourd’hui plus à de l’assurbanque qu’à de la bancassurance. À l’instar d’Axa Banque, qui n’a pas prospéré à l’ombre du géant mondial des assurances, les assureurs ont du mal à développer un réseau bancaire. Le cas de la France est édifiant en la matière. Tirant les traits sur ses pertes sèches, Groupama a cédé sa filiale banque à Orange. Ce, alors que l’intégration engrange des succès en sens inverse. La première collecte de l’assurance vie en France (marché le plus développé au monde devant l’Espagne) est assurée par la CNP, gestionnaire de l’épargne collectée par le réseau BPCE, le Crédit Agricole, le Crédit Mutuel et BNP Paribas.
Le groupe Axa n’arrive qu’en cinquième position. Alors que les banques investissent l’assurance-vie, divers produits de prévoyance et quelques créneaux de l’assurance dommages (automobiles et habitations) peu d’assureurs arrivent à engranger des parts de marché par le biais de l’assurbanque.
En zone CIMA, la NSIA qui structure son approche bancassurance grâce à des alliances ouvertes avec Ecobank et la SIB (filiale d’Attijariwafa Bank) semble, estiment les analystes, avoir consenti beaucoup de fonds à développer une filiale bancaire quand ses concurrents potentiels, Sunu et Activa, ont opté pour des alliances par réseau peu gourmandes en fonds propres et rentables.

Les banques Oragroup et Ecobank auront logiquement intérêt à investir dans une prise de contrôle d’une des belles pépites de l’assurance de la sous région. Car, comme le rappelait Paul Derremeux dans une tribune publiée dans Le Monde, «les groupes subsahariens qui posséderont dans leur périmètre à la fois un solide réseau bancaire et une importante activité d’assurance seront les mieux placés pour s’engager davantage dans la bancassurance et en tirer un profit maximal. La densité accrue des agences bancaires fait par exemple de celles-ci un canal idéal pour le placement de nombreux produits d’assurance – vie ou non vie -, alors que la faiblesse et le coût élevé des circuits de distribution actuels pénalisent les assureurs.»
Dans cette optique, Bank Of Africa tirera profit de l’acquisition de Belife par RMA Wataniya et l’arrivée de Wafa Assurance (plusieurs agréments obtenus dans la sous région), permettra au groupe bancaire marocain de se positionner dans la bancassurance. Pour sa part, le groupe Saham, allié de BMCE Bank sur l’Afrique, ne peut, s’il devait investir dans la banque, qu’opter pour un réseau au moins équivalent à sa taille, c’est-à dire Ecobank. Mais cette banque présente dans 34 pays du continent a pour partenaire naturel Old Mutual, actionnaire de Nedbank, elle-même son actionnaire.
En attendant, le groupe Saham a opté pour un partenariat (juin 2015) avec le groupe FinanceCom en vue d’une création d’une filiale à parts égales. Se faisant, les deux partenaires exploiteront leur complémentarité dans les domaines bancaires, assurances et services financiers, ainsi que les perspectives de synergies industrielles, plus particulièrement dans la bancassurance. Les deux groupes entendent avoir une présence dans plus d’une dizaine de pays d’ici 2020, pour un niveau cumulé de primes estimé entre 400 et 500 millions de dollars.
Une alliance qui revêt plusieurs formes
L’alliance entre banque et assurance revêt plusieurs formes. Entre l’accord de distribution exclusif dont l’avantage est de n’induire aucun investissement supplémentaire, le modèle d’architecture ouverte et son inconvénient de voir les produits de la compagnie d’assurance en compétition avec des offres concurrentes et l’approche intégrée (création d’une filiale en interne), les voies sont diverses. Avec le recul, l’on peut estimer que l’alliance conclue en Côte d’Ivoire entre la BHCI et la Somavie depuis 2012 n’a pas donné les fruits escomptés. La bancassurance offre à la banque des entrées additionnelles (commissions), le moyen de réduire le risque -crédit grâce au contrat d’assurance associé au financement et, in fine, la possibilité de retenir l’épargne de son client dans ses livres.
En général, c’est la banque qui prend l’initiative en commercialisant des produits d’assurance- vie pour le compte d’une Compagnie d’assurance ou sur compte propre puisque la législation a tendance à assouplir, voire à faire disparaître, la cloison séparant la banque et l’assurance. Dans le cas marocain, la totalité des souscriptions de la bancassurance sont le fait de banques puissantes disposant de filiales en assurance à l’instar des tandem Attijariwafa Bank et Wafa Assurance, BMCE Bank et RMA. Tout au contraire du groupe NSIA, le groupe Saham qui vient de ravir la troisième place des souscriptions d’assurance au français Axa a contracté une alliance avec Crédit du Maroc pour développer son modèle. Entre une alliance par réseaux ou une alliance capitalistique, le choix dépend de plusieurs paramètres.
Pour le moins, l’option décrite ci-haut de la NSIA semble avoir généré une forte accélération de son business en Côte d’Ivoire. Pour preuve, la branche vie a progressé de 22% à 26,2 milliards FCFA en 2016. Pour sa part, le groupe Afriland First Bank tente d’optimiser le potentiel de la SAAR sur plusieurs pays.
La BGFI Bank tire profit de ses filiales Ogar et Assinco sur le marché gabonais où les produits d’épargne et de prévoyance sont en retrait comparés aux produits de l’assurance dommages. A l’inverse de la NSIA, les autres compagnies d’assurance préfèrent investir leurs excédents dans de nouvelles acquisitions tout en nouant des alliances avec les réseaux bancaires. Du côté des banques, tout en jugeant indispensable le développement d’une palette de produits d’épargnes à rendements élevés associés à la prévoyance et à l’assurance vie, l’on ne se précipite pas dans des alliances capitalistiques. Pour le moment, les revenus de la bancassurance sont encore modestes de l’ordre de 1% en zone CIMA selon une étude de 2014. Les commissions reversées dans le cadre de contrat d’intermédiation -distribution appellent à une stratégie plus affirmée selon les acteurs.
Par exemple, Coris Bank a développé une filiale d’assurance en interne s’offrant une pleine synergie entre les deux activités. Cette option interne permet de faire la transition en douceur vers la bancassurance. Les acteurs des deux activités sont unanimes, la frontière entre banque et Assurance est entrain de tomber tout comme l’est celle séparant banques et télé- coms.
L’article 503 du code CIMA modifié par décision du conseil des ministres du 20 avril 2004 stipule que les banques, lesétablissements financiers, les institutions de micro finance agréées, les caisses d’épargne et la poste peuvent présenter les opérations d’assurance dans leurs guichets dès lors que la personne habilitée à présenter ces opérations est titulaire d’une carte professionnelle visée à l’article 510 du même code modifié par décision du conseil des ministres du 16 septembre 1997».
