{"id":456696,"date":"2018-01-15T15:44:04","date_gmt":"2018-01-15T15:44:04","guid":{"rendered":"https:\/\/www.financialafrik.com\/?p=456696"},"modified":"2018-01-15T15:44:04","modified_gmt":"2018-01-15T15:44:04","slug":"tunisia-sale-of-a-block-of-shares-representing-5052-of-the-capital-of-carthage-cement-sa","status":"publish","type":"post","link":"https:\/\/www.financialafrik.com\/en\/2018\/01\/15\/tunisia-sale-of-a-block-of-shares-representing-5052-of-the-capital-of-carthage-cement-sa\/","title":{"rendered":"Tunisia: Sale of a block of shares representing 50,52% of the capital of Carthage Cement SA"},"content":{"rendered":"<div class=\"pdfprnt-buttons pdfprnt-buttons-post pdfprnt-top-bottom-left\"><\/div><p>The State and Bina Corp SA majority shareholders of Carthage Cement SA have decided to proceed with the sale of a block of shares representing 50,52% of the share capital of Carthage Cement SA by way of International Call for Proposals to a strategic or financial investor who will have the ability to manage and develop the Company.<\/p>\n<p>The ECC Mazars Consortium, IEG Tunisia, Corporate Advisory, Cabinet Mrabet Avocats has been retained by Al Karama Holding as sole advisor to assist in the realization of the sale transaction.<\/p>\n<p>The purpose of this Call for Expressions of Interest is to first inform investors of this Transaction, then to describe the transfer process decided upon and finally to inform interested investors about the terms of withdrawal of the prequalification file.<\/p>\n<p>The divestment process includes a pre-qualification phase of the candidates followed by a phase of financial offers open to all pre-qualified candidates.<\/p>\n<p>Investors with Tunisian or Foreign nationality wishing to participate in this process must be a legal entity or a consortium headed by a leader who must be a legal person.<\/p>\n<p>Al Karama Holding reserves the right, at any time during the process, not to retain one or more investors to participate in the transfer process, in the event of non-compliance by the Investor (s) concerned with the provisions of the pre-qualification file, current regulations or rules of public order.<\/p>\n<p>Pre-qualified candidates will be notified by 02 March 2018 at the latest and may then withdraw a tender dossier consisting of the tender rules, an information memorandum and draft acts. of assignment.<\/p>\n<p>Pre-qualified applicants will have access to a Data Room to perform Due Diligence work. They will be able to visit the premises of the company, meet with its management, ask their questions in writing and propose amendments to the draft acts of assignment in accordance with a schedule and terms defined in the tender documents.<\/p>\n<p><strong>About Carthage Cement:<\/strong><\/p>\n<p>Carthage Cement, a public limited company quoted on the Tunis Stock Exchange, specializes in the production of cement, aggregates and concrete. The company operates a quarry owned adjacent to the plant to source raw material.
